License & Digital Product Usage Agreement

This License & Digital Product Usage Agreement (“Agreement”) is a legally binding contract between you (“Licensee” or “Customer”) and FinancialPlan.tools (“Licensor,” “we,” or “us”). By purchasing, downloading, accessing, or using any of our digital products (including the Standard Edition, Founder Suite, Excel templates, and accompanying guides), you agree to be bound by the terms of this Agreement.

1. Grant of License

Upon full payment of the applicable purchase fee, FinancialPlan.tools grants you a non-exclusive, non-transferable, non-sublicensable, perpetual, single-user commercial license to use the digital spreadsheet files subject to the limitations set forth below.

2. Permitted Uses (What You Can Do)

Under this license, you are explicitly permitted to:

  • Internal Business Planning: Use, modify, populate, and tailor the financial model for your own business, startup, or personal venture.
  • Investor & Stakeholder Presentations: Export, display, print, or share read-only outputs (such as PDF summaries, pitch deck slide exports, or static presentation visuals) with prospective investors, co-founders, board members, bankers, and advisors.
  • Consulting Deliverables (Client Work): If you are a consultant, advisor, or agency, you may use the model to create finalized financial projections for an individual client, provided the deliverable is presented in a static/read-only format (e.g., PDF or locked client-specific workbook) and not delivered as an unbranded, reusable template asset.
  • Multi-Device Access: Install and store copies of the downloaded .xlsx file on your personal and business devices (such as a laptop, desktop, and private cloud storage) for your direct use.

3. Prohibited Uses (What You Cannot Do)

To protect our intellectual property, the following actions are strictly prohibited:

  • No Resale or Sub-Licensing: You may not resell, license, sub-license, rent, lease, or monetize the template files, formulas, or documentation as a digital product.
  • No Public Distribution: You may not upload the spreadsheet, formulas, or raw files to public repositories (such as GitHub, public Google Drive/Dropbox links, or open forums) or digital asset marketplaces.
  • No Template Marketplace Derivatives: You may not create “derivative” template products, spreadsheet courses, or competing digital assets directly based on the structural architecture, formulas, or design systems of FinancialPlan.tools.
  • No Multi-User Redistribution: You may not purchase a single license and distribute the raw file across a company-wide directory or shared pool of non-licensed external parties.

4. Intellectual Property Rights

  • All copyrights, patents, trade secrets, trademarks, proprietary spreadsheet architectures, cell logic, and dynamic formulas contained within our digital files remain the exclusive intellectual property of FinancialPlan.tools.
  • This Agreement grants you a limited usage license; it does not constitute a transfer of title or intellectual property ownership.

5. License Revocation & Termination

  • This license is effective until terminated.
  • Breach of Terms: Any unauthorized distribution, piracy, resale, or breach of this Agreement will result in the immediate and automatic termination of your license without refund, and may subject you to legal liability for copyright infringement and damages.
  • Refund Termination: If a refund is requested and approved under our Refund Policy, your license to use the model is immediately terminated, and you must destroy and delete all local and cloud copies of the template.
